Chapter1 Purpose
The Human Rights Global Policy (the “Global Policy”) is based on the Guiding Principles on Business and Human Rights adopted by the UN Human Rights Council in June 2011. In order for the ONO Group to truly contribute to the realization of a sustainable society and fulfill its responsibility to respect the human rights of all people affected by its business activities, the ONO Group aims to support and respect international human rights norms and promote initiatives to respect human rights. The ONO Group pledges to continuously promote efforts to respect human rights throughout the ONO Group based on this Global Policy and all policies.
Chapter2 Definitions of Terminologies
Article1The terms used in this Global Policy are defined below.
- “All policies” means the global policies and the individual entity policy (including rules, detailed rules, and other items equivalent to the individual entity policy).
- “Applicable laws and regulations” means all laws, cabinet orders, ministerial ordinances, municipal ordinances, rules, guidelines, policies, notifications, and other public norms related to the business activities of the ONO Group.
- “Employee(s)” means directors, officers, regular employees, contract employees, and other employees of the ONO Group, including temporary staff and fixed-term employees.
- “Global Policy(ies)” means a fundamental policy or policies commonly applied by the entire the ONO Group which embody the ONO Group's principles.
- “Individual Entity Policy” means basic regulatory requirements, authorities, responsibilities, procedures, and methods of operation, consistent with the principles of the Global Policy, that are established and applied by each entity.
- “ONO Group” means ONO PHARMACEUTICAL CO., LTD. and its subsidiaries.
- “Subsidiary(ies)” means an entity or entities in which ONO PHARMACEUTICAL CO., LTD. directly or indirectly holds a majority of voting rights (more than 50%) or otherwise exercises equivalent substantial control. Indirect ownership includes all entities in a continuous chain of control, such as subsidiaries and sub-subsidiaries.
Chapter3 Scope
This Global Policy applies to all entities and employees of the ONO Group. The ONO Group also requires all of our business partners, including suppliers, involved in our business, products and services to comply with this Global Policy.
Chapter4 Basic Principle
This chapter presents the ONO Group’s basic stance on human rights.
Article1Basic Stance on Human Rights
- The ONO Group supports and respects the United Nations “International Bill of Human Rights” (consisting of the “Universal Declaration of Human Rights,” “International Covenant on Civil and Political Rights,” and “International Covenant on Economic, Social, and Cultural Rights”), which stipulates the fundamental human rights of all persons, and the International Labour Organization’s “Declaration on Fundamental Principles and Rights at Work,” which stipulates fundamental rights at work (*), as well as the international code of conduct related to the protection of human rights, including conventions on workers’ human rights such as wages and working hours, the “OECD Guidelines for Multinational Enterprises,” and the “United Nations Declaration on the Rights of Indigenous Peoples.”
- In addition, the ONO Group respects and protects the human rights of patients and subjects in our pharmaceutical research and development activities in accordance with the Declaration of Helsinki: Ethical Principles for Medical Research Involving Human Subjects.
- Also, as a signatory to the United Nations Global Compact (GC), the ONO Group supports and respects the Ten Principles (GC10).
(*)This includes support and respect for the International Labour Organization’s Core Labour Standards: “effective abolition of child labour,” “elimination of all forms of forced or compulsory labour,” “elimination of discrimination in respect of employment and occupation,” “freedom of association and the effective recognition of the right to collective bargaining,” and “a safe and healthy working environment.”
Chapter5 Basic Policy
This chapter presents the ONO Group’s policy for promoting efforts to respect human rights.
Article1Responsibility to Respect Human Rights
- The ONO Group promotes efforts to eradicate modern slavery, including forced labor and human trafficking. On that basis, the ONO Group understands that our business activities may directly or indirectly have a negative impact on human rights, and will not infringe upon the human rights of those affected by our business activities. If it becomes clear that business activities have caused or promoted a negative impact on human rights, the ONO Group will fulfill our responsibility to respect human rights by taking appropriate measures to correct the situation.
- The ONO Group does not intend its products or services to be used in ways that contribute to human rights abuses. Therefore, in cases where it is suspected that a business partner may have a negative impact on human rights in connection with our business, products or services, the ONO Group will urge the business partner to respect human rights and not infringe on them.
Article2Human Rights Due Diligence
The ONO Group will establish a system of human rights due diligence in accordance with the “United Nations Guiding Principles on Business and Human Rights” to identify, prevent and mitigate any adverse human rights impact that the ONO Group may have on its stakeholders.
Article3Dialogue and Consultation
In the process of implementing this Global Policy, the ONO Group will apply the expertise of independent third parties on human rights, and will sincerely engage in dialogue and consultation with its stakeholders.
Article4Education and Training
In order to ensure that this Global Policy is incorporated into all of its business activities and is implemented effectively, the ONO Group will provide appropriate education and training to its employees, and strive to instill understanding among business partners, etc.
Article5Remedy
When there is a possibility that the ONO Group’s business activities may have had a negative impact on human rights, or if its involvement through a business partner or other party is suspected, the ONO Group will appropriately investigate the facts. If, as a result, a negative impact on human rights or such involvement becomes apparent, the ONO Group will work to remedy such impacts through dialogue and appropriate procedures in accordance with the international code of conduct.
Article6Responsible Executive Officer(s)
The ONO Group will entrust an executive officer or officers with the responsibilities of implementing this Global Policy and supervising its implementation status.
Article7Information Disclosure
The ONO Group will disclose the progress and results of its efforts to respect human rights on its website and through other media.
Article8Compliance with Applicable Laws and Regulations
The ONO Group will comply with the applicable laws and regulations of each country and region in which it operates. Where there is a conflict between internationally recognized human rights principles and the laws and regulations of a country, the ONO Group will seek ways to respect internationally recognized human rights principles to the maximum extent possible.
Supplementary Provisions
- This Global Policy was approved by the Management Meeting on June 25, 2020, and took effect on July 1, 2020.
- Amendments to this Global Policy will be discussed and approved by the Board of Directors.
